Board of Directors
The Board of Directors meets every other month, to conduct agency related business. Standing Committees meet quarterly for key review of designated areas. And provide committee reports at regular/full Board of Directors meetings. The Chair is the Executive Officer and presides over all meetings of the BOD, and appoints all chair persons to committees. The Chair is a member of all standing committees and is authorized to sign contracts & obligations and appoint legal counsel for the agency.
Board Structure and Philosophy
The Agency is run by a volunteer Board of Directors; no less than 5-15 members, elected according to bylaws serving terms of 3-5 years. The Board consists of four Standing Committees; Finance Committee, Program Committee, Membership Committee, and Development Committee, as well as other Ad-hoc Committees.
The Board Philosophy is to take personal responsibility to ensure community needs are met through alignment with the mission and vision of the organization. Its core belief is that, “Each death from HIV/AIDS is a treatment failure, while each positive infection is a prevention failure!” which CBAF is equipped to address.
Functions and Responsibilities of the Board include:
• Approval of agency administrative and financial policies and procedures
• Establish long-term goals in the annual plan
• Appointment of the Executive Director
• Conduct financial planning
• Ensure development of committees - Executive, Finance, Membership, Program
and Development Committee, and other designated Ad-hoc Committees
Executive Committee
Officers of the Executive Committee (EC) are the Board Chair, Vice Chair, Treasurer, and the Secretary, which are authorized to take action on behalf of the agency for the full board. EC provides oversight for personnel and client/community grievances related to the BOD & conduct annual evaluation for the Executive Director.
Development Committee
The Development Committee plans and implements fundraising projects to include annual events such as; Red Ribbon Ball, Magic Mile, Cuts for Cures, Art Under the Stars, etc. The Events Committee may recruit advisory and community partners/non-members to participate in the planning and facilitation of fundraising events.
Finance Committee
The Finance Committee consist of (3) members and must include the Treasurer designated as the Chair for the Finance Committee. Finance Committee meetings are quarterly, and accountable for approval of agency F.O.P.’s; Financial Policies and Procedures, Cost Allocation Plan, agencies financials, annual budget. The Finance Committee will be informed of all expenditures over $5,000.00 (non-reoccurring).
Program Committee
The Program Committee meets quarterly to review PIC plans, outcomes, and evaluations and reports to the full board. The Program Committee ensures service expansion is in alignment with agency mission and vision.
Membership Committee
The Membership Committee is charged with recruitment & recommendation of new board and advisory members to the full BOD. The Membership Committee consists of no less than (2) members, and facilitates annual officer elections.

The Coastal Bend
AIDS Foundation
The Coastal Bend AIDS Foundation is a 501(c)(3), non-profit organization, established on April 30, 1986, by community volunteers to provide support for friends and family members infected or affected by HIV/AIDS. CBAF serves twelve counties: Aransas, Bee, Brooks, Duval, Jim Wells, Kenedy, Kleberg, Live Oak, McMullen, Nueces, Refugio, and San Patricio.
CBAF provides services to the community through case management of nearly 400 HIV/AIDS clients on a regular basis, plus three outreach projects: Project CARE (Community Awareness Reinforcing Education), which serves an average of 3,000 individuals yearly; and Project FREE and Project BESOS which together reach approximately 5,400 individuals annually.
Our vision at CBAF is to enhance social services in the Coastal Bend area through outreach, education, prevention and intervention; actively encourage and support mobilization through group and individual advocacy; and leverage resources to support service delivery systems to address community needs.
Our primary goal is to empower individuals and families to take control of their lives through improved decision-making skills and overall wellness and health promotion initiatives.
CBAF will achieve individual and community empowerment through evidence-based strategies to provide prevention, intervention, testing, and referrals for client services and access into referrals for client services and access into care for medical, substance abuse, and mental health services.
Through community and resource mobilization, CBAF is a front-runner, dedicated to the prevention of HIV/AIDS, tobacco, alcohol and drug abuse through our educational and outreach programs in the community and schools. Through these programs, those individuals most at risk—our young people—are given information, testing, counseling and life choices that help keep them substance abuse and disease free.
Quality Management
CBAF has a developed quality assurance program that is comprised of the administrative staff (ED, PD, HR, CFO), the (5) Program Coordinators, and a Physician that serves CBAF clients. The Performance Improvement Committee (PIC) ensures cost and program effectiveness for service delivery. The PIC meets quarterly to review program service delivery goals, performance measures and outcomes, and makes appropriate adjustments to for continuity of care and cost containment.
Program Management
Individual Program Coordinators (PC) are responsible for day-to-day operation, monitoring, tracking of service delivery goals, direct supervision, training, and management for department staff and development of program operating procedures.
